The Gelephu Corporate Registration Office (GCRO) is the statutory authority overseeing the formation, registration, and ongoing compliance of all entities operating in GMC.

Established under Article 4(2) of the GMC Royal Charter No. 1 of 2024 and governing pursuant to the GMC Companies Act 2025, Business Names Registration Act 2026, and the Partnership Acts 2026, the GCRO maintains the integrity, transparency, and regulatory certainty of the corporate ecosystem.

Registration Lifecycle

From Expression of Interest to Registry Entry

The GCRO manages the complete corporate lifecycle across all 7 recognized entity types through a unified, 100% online digital transaction portal (corp.registry.gmc.bt).

  1. Expression of Interest (EOI)

    Lodge a free Expression of Interest outlining what you intend to build in GMC. No initial fee or complex setup required.

  2. Business Alignment Assessment

    A direct preliminary review by the GCRO assessing proposal alignment with GMC’s strategic economic framework.

  3. CSP appointment & Name Screening

    Appoint empaneled CSP and Select your entity structure, reserve your company/partnership name, and submit formal registration particulars.

  4. Due Diligence & KYC Screening

    Verification of subscriber and officer identities conducted through GMCA-empaneled Corporate Service Providers (CSPs).

  5. Statutory Fee Payment

    Complete online fee payment securely via the integrated digital payment gateway.

  6. Certificate Issuance & Public Record

    The entity is formally incorporated/registered and receives its digital Certificate.

  7. Ongoing Annual Compliance

    Entities maintain their active legal status by lodging annual returns, updating beneficial ownership registers, and submitting financial filings for as long as they exist.
